1. About these terms
Qupons ("we", "us") provides a mobile app that lets businesses create digital loyalty
cards and coupons and send them to their customers as Apple Wallet and Google Wallet
passes. These terms use the same words as our
privacy policy:
- Users ("you") are people with a Qupons account: business owners,
admins and team members.
- Customers are customers of a business that uses Qupons, who hold
one of its loyalty cards or coupons.
Qupons is a tool for businesses. You must be 18 or over and use it for your business,
trade or profession. If you accept these terms on behalf of a business, you confirm
you're allowed to bind it to them.
Customers don't need an account and these terms don't apply to them. A customer's
loyalty scheme is run by the business that issued the card, which sets its rules and
rewards.
5. Your customers
For your customers' data, your business is the controller and Qupons processes it on
your behalf, as our privacy
policy explains. You're responsible for:
- Having a lawful basis to add customers and send them cards, and telling them how
your loyalty scheme uses their data.
- Only adding email addresses of people who have asked to join your scheme.
- Only sending marketing to customers who agreed to hear from you, and respecting
their choice when they change it.
- Using your customer list and any export of it lawfully and keeping it secure.
- Dealing with customers' requests about their data, with our help where you need
it.
We handle your customers' data only to provide Qupons to you, keep it secure, use
providers bound to protect it, help you respond to customers' requests, and tell you
without undue delay if a breach affects it.
6. Your offers
The loyalty cards, coupons and rewards you create are your offers, not ours. You decide
their terms, and you're responsible for honouring them, for describing them clearly
and accurately, and for following consumer protection and advertising law. Qupons
isn't a party to the arrangement between you and your customers and doesn't
guarantee any reward.
8. Your content and ours
You keep ownership of what you put into Qupons, such as your business name, logos,
images and card designs. You give us permission to store, copy, display and send it
as needed to provide the service, including showing it on your customers' wallet
passes and emails. You confirm you have the right to use it this way.
Qupons, its app, website, designs and brand belong to us. We give you a personal,
non-transferable right to use the app for your business while you follow these
terms.
9. Our service
We work to keep Qupons available and secure, but we can't promise it will always be
uninterrupted or free of errors. We may need to pause it for maintenance, and we'll
keep that as short as we can.
We improve Qupons over time and may add, change or remove features. If we make a
change that significantly reduces what a paid plan includes, we'll tell you in
advance.
Keep your own copies of anything important; you can export your customer list in the
app at any time.
10. Third-party services
Qupons relies on services run by others, including Apple Wallet, Google Wallet, the
App Store, Google Play and Sign in with Apple or Google. Their own terms apply when
you or your customers use them, and we aren't responsible for how they work or for
changes they make. If you downloaded the app from the App Store, Apple isn't a party to
these terms and has no responsibility for the app or for supporting it.
11. Liability
Nothing in these terms limits liability that the law doesn't allow to be limited,
such as for death or personal injury caused by negligence, or for fraud.
Otherwise, because Qupons is a business tool:
- We aren't liable for loss of profits, revenue, business, goodwill or data, or for
any indirect or consequential loss.
- We aren't liable for your offers, how you run your loyalty scheme, or disputes
between you and your customers.
- Our total liability to you in any 12 months is limited to the greater of the amount
you paid for Qupons in those 12 months and £100.
You agree to cover our reasonable costs and losses if someone makes a claim against us
because of your offers, your content or how you've used your customers' data in breach
of these terms.
12. Ending the agreement
You can stop using Qupons at any time and delete your account in the app. Deleting
your account doesn't cancel a store subscription, so cancel that in your device's
settings too.
We may suspend or close an account that breaks these terms, puts the service or other
people at risk, or that we're required to close by law. Where it's reasonable we'll
warn you first and give you a chance to fix the problem. We may also stop providing
Qupons altogether, giving you at least 30 days' notice.
When an account or business is closed, its cards may stop updating or working, and we
delete its data as described in our
privacy policy.
13. Changes to these terms
We may update these terms, for example when we add a feature or the law changes. The
latest version is always on this page with its effective date. We'll let you know in
the app or by email about significant changes before they take effect. If you keep
using Qupons after that, the new terms apply; if you don't agree, you can stop using
it and delete your account.
14. Governing law
These terms are governed by the law of England and Wales, and the courts of England and
Wales have jurisdiction over any dispute. Please contact us first so we can try to
sort it out.
If any part of these terms can't be enforced, the rest still applies. If we don't
enforce a term straight away, we can still enforce it later. You can't transfer your
rights under these terms without our agreement; we may transfer ours if Qupons is
merged, acquired or sold.
